Terms of Service

These Terms of Service ("Terms") form a legally binding agreement between you ("you" or "User") and Nell AI Labs LLC, a limited liability company ("Nell AI Labs," "we," "us," or "our"), governing your access to and use of the website https://trynellbuilder.com (the "Website") and any related products, applications, content, and services we make available (collectively, the "Services").

PLEASE READ THESE TERMS CAREFULLY. THESE TERMS INCLUDE A LIMITATION OF LIABILITY (SECTION 13) AND, WHERE PERMITTED BY LAW, A BINDING DISPUTE-RESOLUTION PROVISION (SECTION 18) THAT AFFECT YOUR LEGAL RIGHTS.

1. Acceptance of Terms

By accessing or using the Services, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you do not agree, you may not access or use the Services. If you are accessing the Services on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Eligibility

You must be at least 13 years old (or the minimum age required in your jurisdiction) to use the Services. By using the Services, you represent and warrant that you meet this requirement, that you have the legal capacity to enter into these Terms, and that you are not barred from using the Services under applicable law.

3. Description of the Services

Nell AI Labs LLC operates an AI-native operating company providing forward-deployed engineering, applied research, software products, and related services. The features, content, and availability of the Services may change from time to time without notice.

4. License to Use the Services

Subject to your compliance with these Terms, Nell AI Labs LLC grants you a limited, revocable, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal, internal, or business purposes consistent with these Terms. All rights not expressly granted are reserved.

5. Your Content and Submissions

Your ideas stay yours. We treat them as confidential, and we do not publish, display, or promote them without your explicit permission.

"User Content" means the startup ideas, business descriptions, documents, survey responses, profile details, and other materials you submit through the Services. You retain all right, title, and interest in your User Content. Nothing in these Terms transfers ownership of it to us.

5.1 The license you grant us

You grant Nell AI Labs LLC a worldwide, non-exclusive, royalty-free, revocable license to host, store, transmit, reproduce, and process your User Content solely for the following purposes:

  • To operate and provide the Services to you, including generating the reports, playbooks, surveys, and other outputs you request.
  • To store and display your User Content back to you and to any account or organization you have authorized to access it.
  • To back up, secure, and restore your data, and to detect and prevent fraud, abuse, and security incidents.
  • To provide support when you ask for it.
  • To comply with law and legal process.

This license is limited to what is necessary for those purposes. It is not sublicensable except to the service providers who host or process data on our behalf under written confidentiality and security obligations, and it is not transferable except as part of a merger, acquisition, or sale of assets in which the acquirer is bound by these same commitments. It ends when your User Content is deleted, except for backup copies retained for the limited period described in our Privacy Policy.

5.2 Confidentiality

We treat your User Content as your confidential information. We do not publish, display publicly, market, promote, or otherwise disclose it to third parties, except: (a) to the service providers described above; (b) where you direct us to, such as when you share a playbook link, publish a completion record, or send an ICP survey to your own respondents; (c) where you give us explicit prior written permission, for example to name you in a case study or testimonial; or (d) where required by law.

We will not use your ideas or submissions in marketing, sales material, public write-ups, or demonstrations that identify you or disclose the substance of your idea, unless you have specifically agreed to it. Permission for one use is not permission for another.

5.3 AI processing and model training

Producing your reports requires sending your User Content to third-party AI model providers for processing. We use those providers under commercial terms that prohibit them from using content submitted through our account to train their models.

We do not use your User Content to train AI models, our own or anyone else's, and we do not sell it. We may use aggregated or de-identified information that cannot reasonably be used to identify you or reconstruct your idea to measure and improve how the Services perform.

5.4 Your responsibilities

You represent that you have all rights necessary to submit your User Content, and you are responsible for its accuracy and legality and for your compliance with any third-party rights. You can delete your User Content, or ask us to delete it, as described in the Privacy Policy.

6. Feedback

If you provide suggestions, enhancement requests, bug reports, or other feedback about how the Services themselves work ("Feedback"), you grant Nell AI Labs LLC a perpetual, irrevocable, worldwide, royalty-free license to use and incorporate the Feedback into the Services and any related products without restriction or compensation.

Feedback means commentary on our product. It does not include your User Content, and submitting a startup idea to the Services is never Feedback. Section 5 governs your User Content, and this section does not narrow it.

7. Acceptable Use

You agree not to, and not to allow any third party to:

  • Violate any applicable law, regulation, or third-party right.
  • Infringe, misappropriate, or violate any intellectual property or other proprietary right.
  • Upload or transmit viruses, malware, or other harmful code.
  • Interfere with, disrupt, or impair the integrity, security, or performance of the Services.
  • Attempt to gain unauthorized access to any portion of the Services or any related systems.
  • Use automated means (e.g., bots, scrapers) to access or collect data from the Services without our prior written consent.
  • Reverse engineer, decompile, or disassemble any part of the Services, except as expressly permitted by law.
  • Use the Services to develop a competing product or service.
  • Misrepresent your identity or affiliation with any person or entity.
  • Engage in conduct that is harassing, defamatory, harmful, or otherwise objectionable.

8. Intellectual Property Rights

The Services, including all software, text, graphics, logos, trademarks, and other content (collectively, the "Nell AI Labs IP"), are owned by Nell AI Labs LLC or its licensors and are protected by intellectual property and other applicable laws. Except for the limited license expressly granted in these Terms, nothing herein conveys any right, title, or interest in or to the Nell AI Labs IP.

9. Trademarks

"Nell AI Labs," the Nell AI Labs logo, and other marks used in the Services are trademarks of Nell AI Labs LLC. You may not use these trademarks without our prior written consent. All other trademarks are the property of their respective owners.

10. Third-Party Services and Links

The Services may contain links to or integrate with third-party websites, products, or services. We do not control and are not responsible for third-party services. Your use of third-party services is governed by their own terms and policies, which we encourage you to review.

11. Privacy

Our collection, use, and disclosure of personal information are described in our Privacy Policy, which is incorporated into these Terms by reference.

12. Disclaimers

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NELL AI LABS LLC AND ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND LICENSORS DISCLAIM ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND THOSE ARISING FROM COURSE OF DEALING OR USAGE OF TRADE.

WITHOUT LIMITING THE FOREGOING, WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS, OR THAT ANY CONTENT WILL BE ACCURATE OR COMPLETE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL NELL AI LABS LLC OR ITS AFFILIATES, OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR RELATING TO YOUR USE OF, OR INABILITY TO USE, THE SERVICES.

IN NO EVENT WILL NELL AI LABS LLC'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID TO NELL AI LABS LLC IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO LIABILITY OR (B) ONE HUNDRED U.S. DOLLARS (US$100). SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THE ABOVE MAY NOT APPLY TO YOU.

14. Indemnification

You agree to defend, indemnify, and hold harmless Nell AI Labs LLC and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with (a) your access to or use of the Services; (b) your violation of these Terms; (c) your violation of any third-party right, including any intellectual property or privacy right; or (d) any User Content you submit.

15. Termination

We may suspend or terminate your access to all or any portion of the Services at any time, with or without cause, and with or without notice. Upon termination, your right to use the Services will immediately cease. Sections that by their nature should survive termination will survive, including without limitation Sections 5, 6, 8–10, and 12–18.

16. Modifications to the Services

We reserve the right to modify, suspend, or discontinue the Services (or any part or feature thereof) at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation.

17. Modifications to these Terms

We may update these Terms from time to time. The "Last updated" date at the top reflects the most recent revision. We will provide reasonable notice of material changes through the Services or other appropriate means. Your continued use of the Services after such notice constitutes acceptance of the updated Terms.

18. Governing Law and Dispute Resolution

These Terms are governed by the laws of the United States and the State of Delaware, without regard to conflict-of-law principles. Subject to applicable law, any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Delaware, and you consent to the personal jurisdiction of those courts.

To the extent permitted by law, you and Nell AI Labs LLC each waive the right to a trial by jury and the right to participate in a class action with respect to disputes arising out of these Terms or the Services.

19. Force Majeure

Nell AI Labs LLC will not be liable for any failure or delay in performance resulting from causes beyond our reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, civil unrest, government action, labor disputes, internet or telecommunications outages, or pandemic.

20. Assignment

You may not assign or transfer these Terms or any rights or obligations hereunder without our prior written consent. Nell AI Labs LLC may assign these Terms without restriction. Any attempted assignment in violation of this section is void.

21. Severability and No Waiver

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision will not be deemed a waiver of such right or provision.

22. Entire Agreement

These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and Nell AI Labs LLC regarding the Services and supersede all prior or contemporaneous understandings.
